How to use this page

Each entry is an original, concise research summary based on the Court’s official case record. Hearing dates may change. After a hearing, the official case page normally adds recordings; when judgment is delivered, it adds the judgment, neutral citation and press summary. Those materials remain on the Court’s website and are linked here rather than reproduced.

Question before the Court

Cayman limited partnerships: derivative claims and conflicts of interest.

Why it matters

The Privy Council clarified section 33(3) of the Exempted Limited Partnership Act. Whether a general partner has failed or refused to bring proceedings without cause requires a single evaluative decision, based on the circumstances at the hearing. There is no separate permission requirement or additional discretionary stage. Appointing independent directors did not remove the general partner’s conflict in this case. The appeal and cross-appeal were dismissed; the underlying allegations were not determined.
