How to use this page

Each entry is an original, concise research summary based on the Court’s official case record. Hearing dates may change. After a hearing, the official case page normally adds recordings; when judgment is delivered, it adds the judgment, neutral citation and press summary. Those materials remain on the Court’s website and are linked here rather than reproduced.

Tianrui (International) Holding Company Ltd v China Shanshui Cement Group Ltd

Question before the Court

Whether a shareholder could bring a personal claim against a Cayman company challenging an allegedly improper share allotment that diluted its voting power.

Why it matters

The Board allowed the appeal against strike-out. A shareholder may challenge an improper allotment through a personal claim founded on the corporate contract; the directors’ fiduciary duty remains owed to the company. The decision addresses personal and derivative claims and limits on ratification. The allegations were assumed for deciding strike-out, not established at trial. Judgment by Lord Hodge and Lord Briggs.
